What is Directors and Officers Insurance and why do you need this cover?
The introduction of new statutes to UK law by various Acts has resulted in personal liability being imposed on the Directors and Officers of limited companies, which includes Resident Management, Resident Freehold and Right-to-Manage Companies and Residents’ Associations. In the event of fellow leaseholders suffering financial loss as a consequence of decisions made or actions taken (or not taken), Directors are individually liable or required to contribute personally. Even if any allegations made are not finally proven in a court of law, the defence costs incurred can be significant.
Our policies are specifically designed for Directors and Officers of Resident Management and right to Manage Companies and you do not have to have your building insured through us to purchase this cover, just complete the application form and we can provide you with a quotation.
What does the indemnity include?
Cover includes legal representation at any proceedings subject to our written consent.
The policy cover applies at the time a claim is made and the Limit of Liability includes all costs.
Cover includes defence costs arising from any application to the First-Tier Tribunal (Property Chambers).
Cover includes Entity employment practice cover subject to a sub limit of £25,000 for all claims
Emergency costs - retrospective approval for defence costs incurred in the event our written consent cannot be reasonably obtained (subject to 10% of the Limit of Liability for all claims).
Court attendance costs - £250 per day for each day on which any insured person has to attend court in connection with any claim (subject to a limit of £100,000 in the aggregate).
Criminal or fraudulent acts - financial loss arising from any criminal or fraudulent act or omission of any employee or insured person resulting in improper financial gain; or any fraudulent act of any third party (subject to a limit of £100,000 in the aggregate).
Identity fraud costs - any party entering into an agreement with a third party entity pretending to be you (subject to a limit of £100,000 in the aggregate).
Reputational recovery costs - fees and expenses payable (subject to our consent) to outside public relations professionals (subject to a limit of £100,000 for all claims).

How much does this cover cost?
The cost of cover will depend on the number of units that the Resident Management or Right-to-Manage Company is responsible for, together with the limit of indemnity that they wish to apply.
